Idaho School District Council By Laws
Pursuant to Title 67, Chapter 23 and Title 33, Chapter 3, Sections 315-318, inclusive, of the Idaho Code, be it resolved that member school districts in the State of Idaho, do hereby establish an Idaho School District Cooperative Service Council hereinafter referred to as the Council.
NAME AND ADDRESS
The name of the agency so organized and established shall be the IDAHO SCHOOL DISTRICT COOPERATIVE SERVICE COUNCIL, dba Idaho School District Council. The location and post office address of its registered office is 777 S. Latah, Boise, Idaho 83705. The Board of Directors may, at any time, or from time to time, change the location of the principal office from one location to another.
Council: The Idaho School District Cooperative Service Council, doing business as Idaho School District Council.
Board of Directors: A minimum of seven (7) members, including a member school district authorized representative from each of the six (6) regions of the State, a representative of the ISSA, named by that Association, and a non-voting retired educator. The Executive Director shall serve as an ex officio, non-voting member of the Board.
Board of Directors officers: The chairman, vice chairman, and Executive Director
Executive Director: The executive officer of the Board of Directors and the authorized representative of the Council and the Board of Directors..
Member school districts: Idaho school districts which, by action of their Board of Trustees, approve the payment of annual dues.
Member school district authorized representative: The superintendent, assistant superintendent, business manager or designee of each member school district.
Affiliate organizations: Charter schools and Idaho education related organizations whose employees are eligible for and participate in benefits from the Public Employees Retirement System of Idaho. Affiliate organizations must enter into an agreement with the Council to undertake joint or cooperative action.
For the benefit of member school districts, the Council shall:
- Provide educational services which can be provided more economically and/or efficiently in combination with other districts.
- Enter into contracts, as the member school district’s representative, to employ specialized personnel and/or purchase materials or services, including insurance, on behalf of the member school districts.
- Exercise those powers and duties provided in Idaho Code 33-317.
The Council shall not represent any member school district for services or materials other than those specifically provided in the purchase order, agreement, or contract with the district.
Pursuant to Idaho Code 33-318, for the services and materials received from the Council, the Board of Trustees of any member school district, may appropriate from school district funds and pay to the Council an amount determined by the Board of Directors to be the member school district’s proportionate share of the expenses involved. Such an amount shall not exceed the amount indicated in the agreement between the district and the Council.
Each member school district shall pay fifty dollars ($50) annually for dues. Dues may be expended by the Board of Directors for administrative expenses, travel and operating expense and other expense as outlined in the approved budget.
The Council may receive and expend local, state, federal or private funds as directed by the Board of Directors to achieve its purposes.
The Board of Directors shall adopt an operational budget for the fiscal year at the annual meeting. The budget must reflect anticipated revenue by source, expenditure by major category (salaries, contracted service, rent, utilities, supplies and materials, etc.), and anticipated balances of all funds, including any special funds, at the beginning and end of the budget period. Once approved, the budget shall be provided to any member school district, upon request.
The Council’s funds shall not be intermingled with any other funds. The accounts of the Council shall be kept in the office of the Executive Director, and shall be audited annually by a certified public accountant, with a copy available to each member school district, upon request.
School districts organized under the laws of the State of Idaho which, by action of their board of trustees, approve the payment of annual dues are members of the Council.
A member school district’s withdrawal from the Council shall be by resolution of its board of trustees or failure to pay its annual dues.
Charter schools and education related organizations can be non-voting affiliated organizations with the Council, provided their employees are eligible for and participate in benefits from the Public Employees Retirement System of Idaho. Each affiliated organization must enter into an agreement with the Council, pursuant to Idaho Code 67-2328, providing for the undertaking of joint or cooperative action.
Idaho School District Council members will receive an annual report outlining the highlights of the year.
Meetings of the Council shall be held at such times and places as determined by the Board of Directors.
The Board of Directors shall hold an annual meeting to organize and elect a chairman, and a vice-chairman and to adopt the budget for the ensuing year.
BOARD OF DIRECTORS-MEMBERSHIP
The Board of Directors shall consist of a minimum of seven (7) members including one (1) elected representative (who must be a superintendent or assistant superintendent of a member school district) from each of the six (6) regions of the State as defined in Article X below, and a representative of the ISSA, named by that Association. All of the above shall be voting members of the Board. The non-voting retired educator will be appointed by the Board of Directors for a two year term. The Executive Director of the Council shall serve as an ex-officio, non-voting member of the Board.
The regional representatives shall be elected by the authorized representatives of the member school districts in the representative’s region for a term of three years.
Member school districts shall hold their elections in the spring at a regularly scheduled regional meeting for school administrators.
Whenever a regional representative ceases to serve as superintendent of a member school district within the region, a vacancy shall be declared and an election held at the next regional meeting.
The representative from the Idaho School Superintendents Association shall serve a three year term.
Board of Director terms begin July 1 and shall expire as of June 30 following the completion of the third year.
The Board of Directors shall employ the Executive Director, who shall be the executive officer of the Board of Directors and the authorized representative of the Council and the Board of Directors.
The officers of the Board of Directors shall consist of the chairman, the vice chairman, and Executive Director. The chairman and vice chairman shall be elected by the Board of Directors from its membership at the annual meeting of the Board of Directors for a term of one (1) year and may be re-elected to succeed themselves.
The officers of the Board of Directors shall serve as officers of the Council.
BOARD OF DIRECTORS-POWERS AND DUTIES
The Board of Directors is hereby authorized and empowered to enter into such contracts and obligations as it shall, in its discretion, deem necessary to accomplish the purposes of the Council, and such contracts and obligations shall be binding upon the Council subject to the restriction provided in Article XII.
The chairman by resolution passed by a majority of the Board of Directors, to the extent provided in the resolution, bylaws and/or standing policies of the Council, may exercise the powers of the Board of Directors in the management of the business and affairs of the Council.
The Council may acquire, hold and convey real and personal property necessary to its establishment, extension and existence, upon vote of the Board of Directors. Any member school district entering into an agreement with the Council under the provisions of Idaho Code 67-2328, may appropriate funds and may sell, lease, give or otherwise supply public property to the Council to operate the joint and cooperative functions of the Council and may provide such personnel or services as may be within its legal power to furnish.
The Council may purchase any real or personal property from any available source, and may sell any of its real or personal property, upon vote of the Board of Directors. Upon approval of the Board of Directors, real and personal property may be sold, leased, given or otherwise supplied to any participating school district or other person or agency.
Officers of the Board of Directors shall have additional duties as defined in the standing policies of the Council.
The Board of Directors shall, in general, have the same powers and duties for the Council as the Board of Trustees has for a school district.
The State shall be divided by counties into six (6) regions as follows:
Region I shall include Boundary, Bonner, Kootenai, Shoshone and Benewah.
Region II shall include Latah, Clearwater, Nezperce, Lewis and Idaho.
Region III shall include Adams, Valley, Washington, Payette, Gem, Boise, Canyon, Ada, Elmore and Owyhee.
Region IV shall include Blaine, Camas, Gooding, Lincoln, Minidoka, Jerome, Twin Falls, and Cassia.
Region V shall include Oneida, Franklin, Bear Lake, Caribou, Bannock, Power, and that portion of Bingham County which includes the school districts of Snake River and Aberdeen.
Region VI shall include Fremont, Clark, Teton, Madison, Jefferson, Butte, Bonneville, Custer, Lemhi and that portion of Bingham County which includes the school districts of Firth, Shelley and Blackfoot.
STANDING POLICIES AND RULES OF ORDER
Standing policies may be established by the Board of Directors, or by action of any regularly called meeting of the Council and shall serve as rules and regulations for the operation of the Council.
Robert’s Rules of Order shall govern all business meetings of the Council and the Board of Directors’ meetings.
Nothing in these bylaws shall be construed to extend the jurisdiction, power, privilege or authority of any member school district acting jointly under these bylaws beyond the power, privilege, or authority said school district might have if acting alone. No agreement made pursuant to these bylaws shall relieve any member school district of any obligation or responsibility imposed upon it by law except that to the extent of actual and timely performance thereof by this Council, said performances may be offered in satisfaction of the obligation or responsibility. The private, real or personal property of the officers, Board of Directors, and members of the Council shall not be subject to, and shall be forever exempt from, any payment of Council debts, liabilities, and obligations, in any amount or to any extent, whatsoever. This section can not be amended by any action of the Council, the officers, directors, or members.
The Council shall continue in existence until dissolved by a majority vote of the member school districts. Included in the resolution to dissolve the Council and the subsequent vote will be the necessary language to dispose of the Council’s assets.
Amendments to these bylaws may be presented at the annual meeting and adopted by a majority vote of the Board of Directors with the provision the Idaho School District Council membership received a minimum of a 45-day notice of the amendment(s).
